The distinction

Bulk and block are different mechanisms.

Both make unusually large transactions more visible, but their exchange mechanism, disclosure context and interpretation differ. Current thresholds should always be checked against NSE, BSE and SEBI rules.

Triggered by daily quantity

A participant’s purchases or sales cross the exchange’s defined share-of-equity threshold during the day. Multiple market trades may contribute to the disclosed total.

BLOCK DEAL

Dedicated trading window

The transaction is executed through a special window subject to minimum value and price-band rules. It is designed for negotiated large trades.

Quarterly disclosure

Shareholding patterns show category-level ownership at a reporting date. They help test whether a disclosed trade translated into a durable change in ownership.

Five checks after a large disclosed trade.

Resolve the entities

Confirm buyer, seller, promoter relationship and whether similarly named funds are actually the same legal entity.

Read the price

Compare the execution price with the prevailing price, recent liquidity and any corporate event. A discount can have several explanations.

Measure materiality

Scale the deal against free float, average traded value and the buyer’s likely portfolio size. Large rupee value is not always large ownership.

Check the company

Revisit earnings quality, leverage, cash conversion, valuation and management evidence. Ownership activity does not repair weak fundamentals.

Monitor what follows

Watch subsequent filings, quarterly ownership and business results. The information value often sits in the sequence, not the first headline.

What is a bulk deal in India?

A bulk deal is a transaction where the total quantity bought or sold exceeds the exchange threshold as a share of a company’s listed equity during a trading day. Exchange rules define the current threshold.

What is a block deal?

A block deal is a large trade executed through a dedicated exchange window under price and minimum-value conditions set by the exchange and regulator.

Does a large institutional purchase mean the stock is attractive?

Not necessarily. The buyer may have a different mandate, hedge, cost base or time horizon. The trade is evidence of ownership movement, not proof of value.

What should I check after a large deal?

Check buyer and seller identity, the price versus prevailing market price, subsequent ownership disclosures, business fundamentals, valuation, liquidity and whether the investment thesis changed.
